Welcome to CarzFlip.com ("Website" or "Platform").
This Website is operated by Fortius General Trading LLP, a limited liability partnership registered under the laws of India ("Company", "we", "us", or "our").
Please read these Terms and Conditions carefully before using our Website or participating in any of our programs.

By accessing our Website, registering, investing, or participating in any car flipping transaction, you agree to be bound by these Terms.

1. Eligibility

You must:

  • Be an Indian citizen or a legally authorized resident of India.

  • Be 18 years of age or older.

  • Have valid PAN, Aadhaar, and bank account details.

  • Comply with applicable Indian laws and regulations.

2. Nature of Service

CarzFlip.com facilitates individuals to:

  • Participate in vehicle procurement, refurbishment, and resale transactions.

  • Be inducted as partner members in Fortius General Trading LLP to comply with regulatory norms.

  • Share profits generated from the sale of flipped vehicles as per agreed terms.

Important:
We are a platform that provides end-to-end management of car transactions. We do not guarantee profits or returns, though best efforts are made to ensure success.

3. Registration and Onboarding

To participate:

  • You must complete the required registration, KYC, and due diligence process.

  • You will be inducted as a partner in Fortius General Trading LLP via formal documentation.

  • You must sign necessary agreements including Participation Agreements and/or Supplementary LLP Agreements.

4. Investment Terms

  • Minimum participation amount per vehicle will be specified from time to time.

  • Investments will be used for car procurement, refurbishment, marketing, and resale.

  • Each transaction will have a defined investment amount, projected timeline, and expected margins, disclosed upfront.

  • After sale, you will receive your principal plus share of profits, net of any agreed fees or costs.

5. Profit Sharing and Exit

  • Profits, if any, will be shared based on your participation in specific transactions.

  • Payment will be made after sale realization and accounting adjustments.

  • You can choose to reinvest or exit after completion of a transaction cycle.

  • In case of losses or market slowdowns, returns may be delayed or reduced. No guaranteed profits are promised.

6. Representation and Warranties

By participating, you represent and warrant that:

  • All information you submit is true, complete, and accurate.

  • You are participating out of your free will, having understood the associated risks.

  • You will not engage in any illegal or prohibited activities using the platform.

7. Disclaimer

  • We provide services on a best-effort basis.

  • Past performance is not indicative of future results.

  • Vehicle flipping is subject to market risks, regulatory changes, buyer behavior, and vehicle-specific factors.

  • We shall not be liable for any indirect, incidental, or consequential loss arising from participation.

8. Confidentiality

Participants agree to:

  • Maintain confidentiality regarding business processes, deal structures, vehicle sourcing strategies, and other proprietary information.

  • Not disclose or use confidential information without written consent from Fortius General Trading LLP.

9. Intellectual Property

  • All content on CarzFlip.com, including logos, designs, texts, and photographs, are owned by or licensed to us.

  • No user is permitted to copy, reuse, modify, or distribute our content without express written permission.

10. Data Protection

  • Your personal data will be collected, processed, and stored in accordance with our Privacy Policy.

  • We are committed to securing your information and complying with Indian data protection laws.

11. Amendments

  • Fortius General Trading LLP reserves the right to amend or update these Terms at any time.

  • Revised Terms will be posted on the Website, and your continued participation after changes constitutes acceptance of the new Terms.

12. Termination

We reserve the right to:

  • Suspend or terminate your access to CarzFlip.com without prior notice if you breach these Terms or applicable laws.

  • Terminate your LLP participation if found engaging in misconduct or non-compliance with regulatory requirements.

13. Governing Law and Jurisdiction

  • These Terms shall be governed by and construed in accordance with the laws of India.

  • Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka.
